1. Acceptance of Terms

By accessing or using Map05 ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Map05 is an AI-powered location intelligence platform for commercial real estate research. The Service allows users to:

  • Create and manage map-based research projects
  • Add and organize Points of Interest (POIs)
  • Use AI-powered research assistant for location insights
  • Access NYC Open Data and other public datasets

3. User Accounts

3.1 Account Creation

You may use Map05 as a guest without an account, but certain features require registration. When creating an account, you agree to provide accurate information and keep it updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access.

3.3 Account Termination

We may suspend or terminate your account if you violate these Terms or engage in prohibited activities. You may delete your account at any time through account settings.

4. User Content

4.1 Ownership

You retain ownership of all projects, POIs, and other content you create on Map05 ("User Content"). We do not claim ownership of your User Content.

4.2 License to Map05

By using Map05, you grant us a non-exclusive, worldwide, royalty-free license to:

  • Host, store, and display your User Content to provide the Service
  • Use aggregated, anonymized data derived from your usage patterns for analytics, product improvement, and industry research

This license does not extend to your individual project content, which remains your property and will not be sold or shared with third parties.

4.3 Content Responsibility

You are solely responsible for your User Content. You represent that:

  • You have the right to create and share the content
  • Your content does not violate any laws or third-party rights
  • Your content does not contain malicious code or harmful material

5. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Use automated scripts, bots, or scrapers to access the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Interfere with or disrupt the Service or servers connected to it
  • Collect or harvest user data without authorization
  • Use the Service to send spam or unsolicited communications
  • Impersonate any person or entity
  • Resell, redistribute, or sublicense the Service without permission

6. AI-Generated Content

6.1 Nature of AI Content

Map05 uses artificial intelligence to provide research assistance and generate insights. AI-generated content may contain errors, inaccuracies, or outdated information.

6.2 No Warranty

We do not warrant the accuracy, completeness, or reliability of AI-generated content. You should independently verify any information before making business decisions.

6.3 User Responsibility

You are responsible for reviewing and validating AI-generated content. Map05 is not liable for decisions made based on AI outputs.

7. Third-Party Data and Services

7.1 NYC Open Data

Map05 provides access to NYC Open Data and other public datasets. This data is provided "as is" and we do not guarantee its accuracy, completeness, or timeliness.

7.2 Mapbox

Map functionality is provided by Mapbox. Your use of maps is subject to Mapbox Terms of Service.

7.3 Third-Party Links

The Service may contain links to third-party websites. We are not responsible for the content or practices of these sites.

8. Intellectual Property

8.1 Map05 IP

The Service, including its design, features, and underlying technology, is owned by Map05 and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.

8.2 Feedback

If you provide feedback or suggestions about the Service, we may use them without obligation to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OF DATA OR CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that the Service will meet your requirements or that any errors will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAP05 SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other losses
  • Damages arising from your use or inability to use the Service
  • Unauthorized access to or alteration of your data
  • Any third-party conduct on the Service

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Map05, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights

12. Data Backup

While we implement reasonable measures to protect your data, you are responsible for maintaining backups of your User Content. We are not liable for any data loss.

13. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

14. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the courts of New York County, New York.

15. Dispute Resolution

Before filing a legal claim, you agree to attempt to resolve disputes informally by contacting us at support@map05.com. If we cannot resolve the dispute within 30 days, either party may proceed with legal action.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

18. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Map05 regarding the Service.
